Complete SH01 with allotment dates, share payments, the full statement of capital and class rights. Check signatures, continuation pages and the one-month deadline.

This guide follows 03/26 Version 8.0, checked against the official documents on 30 October 2026.

### Who files SH01 and which shares are excluded?

A limited company uses SH01 to report shares allotted after formation, including bonus shares. Formation subscriber shares are excluded. An unlimited company allotting a new class cannot use this form; resolve the appropriate filing with Companies House.

Prepare the allotment decision, share register, payment details and class rights. For a public company allotting shares for non-cash consideration, attach the valuation report where required. The form does not replace the underlying corporate approvals.

### How to complete the company, allotment and capital sections

Section 1 takes the company number and full registered name. Section 2 records the allotment date or period. For one date, enter it in From; for a period, complete From and To.

| Section | Entries and calculation |
| --- | --- |
| 3: shares allotted | For each class and currency: class, currency, number allotted, nominal value per share, amount paid per share including premium, and amount unpaid per share including premium. |
| 3: non-cash consideration | Describe the consideration instead of treating it as a cash subscription; attach any required public-company valuation report. |
| 4: statement of capital | All issued shares after the allotment, not only the new shares. For each class enter number and aggregate nominal value; complete the total amount unpaid including premium. |
| 4: totals | Complete each currency table and its totals, then the grand totals including continuation pages. Keep monetary totals for different currencies separate. |
| 5: prescribed particulars | For every class, describe voting rights, dividend rights, capital distribution rights including winding up, and redeemability. |

In section 3, a blank currency is taken as pounds sterling. Explicit currency entries reduce ambiguity. Aggregate nominal value means number of shares multiplied by nominal value; it excludes premium. Amount unpaid is different: include unpaid premium where the form requests it.

Section 4 provides tables A, B and C for currencies. Use continuation pages for further entries and include their figures in the totals. Enter 0 or nil for fully paid shares; the form assumes fully paid if the unpaid box is blank. Do not add pounds and euros into one monetary figure. The marked capital table is the position after the allotment.

Section 5 needs a separate rights table for each class. State any conditional voting rights and the terms of redemption. A class name alone does not explain those rights.

### Which signature and continuation pages must accompany it?

Section 6 must be signed by an authorised person: director, secretary, a person authorised under Companies Act 2006 section 270 or 274, administrator, administrative receiver, receiver, receiver manager or CIC manager. For a European company, read director as the appropriate organ member specified on the form. Use the capacity that actually authorises the signer.

Download SH01 continuation pages from the official sources below when the allotted-share, capital or rights tables need more room. Carry the company identification onto the continuation and reconcile its figures to the main form. The optional presenter contact details are public along with the information submitted on this form.

### When and where to submit the completed SH01

Companies House requires notification within one month of issuing more shares. Record the actual allotment date rather than the day the form is prepared. The online service is available; the publication page also links the upload route for eligible paper forms.

For postal filing, the current Companies House postal guidance gives Companies House, Crown Way, Cardiff, CF14 3UZ, for companies registered anywhere in the UK. The DX address is DX 33050 Cardiff. Keep the completed filing, continuation pages, any required valuation report and acceptance evidence.

Before sending, reconcile the register, allotment entries, full capital statement and class rights. Companies House can return an incomplete form. The statement that the form is supplied free does not establish a fee exemption for every filing route.
