A company splitting each ordinary share into smaller shares reports the change on SH02. The same notice covers consolidation, redemption and re-conversion of stock into shares. Choose the section for the transaction, then complete the statement of capital showing the company's position after the change.

This guide follows SH02, 03/26 version 7.0, issued under sections 619, 621 and 689 of the Companies Act 2006. The separate Companies House checklist dates from September 2017; its transaction explanations remain useful, but the currency tables described below follow the March 2026 form.

### Who uses SH02 and which transaction belongs on it?

SH02 records changes to the structure of issued shares. A consolidation reduces the number of shares while increasing each share's nominal value. A sub-division increases the number while reducing the nominal value of each share. Both sections ask for the previous and new structures for each affected class.

Redemption belongs in section 5, which asks for the class, number and nominal value of the shares redeemed. The official checklist specifies that redeemable shares must be fully paid up. Section 6 covers stock being re-converted into shares; the value of the stock must equal the aggregate nominal value of the resulting shares.

The form expressly excludes converting shares into stock. SH02 also does not establish whether a proposed transaction is permitted by the company's articles or whether the necessary approvals have been obtained. A company secretary or legal adviser can check those transaction requirements before the notice is prepared.

### How to complete the resolution and share-change sections

Use the company name and number shown on the public register. Section 2 asks for the resolution date. The illustration marks the consolidation and sub-division sections with their printed section numbers, 3 and 4.

| Section | What to enter | Record to use |
| --- | --- | --- |
| 1: Company details | Full registered company name and company number. | The Companies House record. |
| 2: Resolution date | The date of the resolution, in the printed day, month and year boxes. | The company's resolution. |
| 3: Consolidation | Each affected share class, with the old and new numbers of shares and nominal values. | The share structure before and after consolidation. |
| 4: Sub-division | Each affected class, with the previous and replacement numbers and nominal values. | The share structure before and after the split. |
| 5: Redemption | The class, number and nominal value of redeemed shares. | The redemption records. |
| 6: Re-conversion | The stock value and the class, number and nominal value of the resulting shares. | The stock and share records for the re-conversion. |

The September 2017 checklist says the resolution date must not be in the future or earlier than 1 October 2009. It directs a notice concerning an earlier resolution to form 122. That date restriction concerns the resolution being reported, not a filing deadline.

#### A sub-division calculation

Suppose a company has 240 ordinary shares with a nominal value of £1 each and subdivides each into four shares of 25p. Section 4 shows 240 shares at £1 in the previous structure and 960 shares at £0.25 in the new structure. The aggregate nominal value remains £240: 960 multiplied by £0.25. These are illustrative figures using the calculation in the official checklist.

### Completing the statement of capital after the change

Section 7 describes all issued capital after the reported changes. The currency tables separate share classes and currencies. For each class, enter the number of shares, aggregate nominal value and aggregate amount unpaid, including unpaid nominal value and any unpaid share premium.

Aggregate nominal value is the number of issued shares multiplied by the nominal value of each share. It is not the amount paid for those shares. A premium paid on issue therefore does not increase the aggregate nominal value entered in that column.

Use a separate table for each currency and carry totals, including any continuation pages, into the total issued share capital table. Show different currencies separately in the aggregate nominal value total. For fully paid shares, the form permits zero or nil in the unpaid column and says a blank will be treated as fully paid.

Section 8 requires the rights attached to every class shown in section 7. Describe voting rights, dividend rights, rights to capital distributions including winding up, and redemption rights. A separate table is needed for each class; use the statement of capital continuation page when more space is required.

The older checklist describes section 7 in sterling. Version 7.0 itself provides separate currency tables, so a company with capital in another currency should follow those printed tables.

### Download SH02 and send the completed notice

Get the [official SH02 PDF](https://assets.publishing.service.gov.uk/media/69e89acf9ca985145673b80c/SH02_v7.0.pdf) from the [Companies House publication page](https://www.gov.uk/government/publications/consolidate-sub-divide-redeem-shares-or-re-convert-stock-into-shares-sh02). That page also supplies optional continuation pages and a link to upload the completed document. Complete the form, save it to your device and use the linked upload service.

Section 9 requires a signature on behalf of the company. Its permitted signatories include a director, secretary, a person authorised under section 270 or 274, administrator, administrative receiver, receiver, receiver manager or CIC manager. The form has a separate instruction for a Societas Europaea signatory.

If sending the form by post, follow the Companies House offices link printed on the final page to select the correct address. The form requires typescript or bold black capitals. Its final-page checklist warns that incomplete or incorrectly completed notices may be returned, specifically checking company identification, the resolution date, the relevant transaction section, the statement of capital and signature.

All information entered goes on the public record. Presenter contact details are optional and also become public if supplied.
